GEILER ALERT PREVENTIVE MAINTENANCE CONTRACT
This agreement is between the Mechanical Service and Engineering Division
of The Geiler Company, hereafter call the seller, and
Hereinafter called the Purchaser.
The seller agrees to:
A. PREVENTIVE MAINTENANCE SERVICE
Provide Geiler Alert Preventive Maintenance Service times during the
year on a basis Said service is to be performed on the equipment listed
on the schedule herein attached, per the standards of The Geiler Company
and the equipment manufacturer.
B. SERVICE TECHNICIAN
Provide qualified Service Technicians (Mechanical Equipment Service
Journeymen) to perform periodic maintenance and emergency services,
plus any additional personnel (service or otherwise).
C. PERSONNEL ASSIGNMENT
Assign one of these service technicians as the primary man of all on
site service personnel, who shall coordinate all maintenance service,
via the Seller's Director and the Purchaser's assigned representative
and/or their Director of operations (presently Mr.).
Seller shall also assign a second Service Technician as a back up man
for the primary assigned service technician. The second technician shall
be trained by the primary technician to become familiar with the entire
equipment of, and service responsibility to the purchaser, to both assist
and respond to the purchaser in an emergency if the primary man is unavoidably
detained or unable to respond. This back up Service Technician will work
under the guidelines of the primary Mechanical Equipment Service Technician
and report to him any service which is rendered in his absence.

D. SUPERVISORY PERSONNEL
Provide the Services of the Director of the Mechanical Service and Engineering
Division as an in depth service engineer and coordinator of all mechanical
services required (Barry R. Bowman).
E. PERIODIC ROUTINE INSPECTIONS
Regularly inspect all equipment herein listed, providing at least one
detailed inspection times during its operating seasons, and on each
inspection perform all services required (lubricate bearings, check
oil level, check belts, check refrigerant charge etc.) per Geiler Alert
standards.
F. SERVICE REPORT
Furnish the purchaser with a complete copy of the Service Technician's
report, indicating what repairs and/or improvements, if any, are necessary
or recommended, resulting from each inspection.
G. ANNUAL ROUTINE MAINTENANCE
Provide for all equipment herein listed, the annual maintenance required,
per Geiler Alert and the equipment manufacturer's established standards.
Customer is responsible for providing access to all equipment included
in this contract.
H. MINOR ADJUSTMENTS
Include adjustments, as necessary, to all equipment herein listed, during
regularly scheduled, periodic, routine or annual inspections of said
equipment.
I. EMERGENCY SERVICE, PREFERENTIAL TREATMENT
Furnish on a twenty four hour per day, 365 day per year basis, emergency
service personnel as needed by the purchaser, with preferential priority
to the purchaser over non-contract customers.
J. LABOR
Furnish all labor in the performance of periodic, routine and annual
maintenance inspections as stated under the terms and conditions of
limitations of this contract or as listed on schedule sheet(s) during
regular time hours.
Regular time hours are between 8:00 a.m. and 4:30 p.m. Monday through
Friday, excluding Holidays.

Furnish additional labor, beyond the scope of limitations of this contract,
at a flat rate of$.00 per regular time hour. OVERTIME RATES ARE ONE AND
ONE HALF TIMES THE REGULAR HOURLY RATE FOR WEEKDAYS, INCLUDING SATURDAY.
SUNDAYS AND HOLIDAYS ARE AT DOUBLE THE REGULAR HOURLY RATE.
K. PREVENTIVE MAINTENANCE SCHEDULE
Provide Check lists, per Geiler Alert standards, to be utilized for
the purpose of evaluating, scheduling and performing said maintenance.
L. PARTS
Furnish the purchaser with parts at a discounted cost 10% below Trade
Service Pricing index.
M. INSTRUCT PURCHASER
Through the Director and the primary Mechanical Equipment Service Technician,
in their best judgment, advise the purchaser in the basic operation
of system(s) to provide the best operating efficiency for conditions.
N. PRECAUTIONS
Take all reasonable precautions to avoid damage to property or injury
to persons in the execution of this contract.

GEILER ALERT PREVENTIVE MAINTENANCE PROGRAM
The seller shall provide scheduled preventive maintenance on the equipment
listed on the enclosed schedule(s) per the Geiler Alert Plan Preventive
Maintenance Program as described herein, provide the additional service(s)
in limitation as indicated.
The purchaser will be billed at a rate of $.00 per regular time hour
for all repairs or emergency service. Regular time hours are between 8:00
a.m. and 4:30 p.m. Monday through Friday, excluding Holidays (Labor rates
are subject to change with written notice).
Service will be furnished by The Geiler Company Mechanical Service and
Engineering Division at the time of proposal acceptance and continuing
for a period of one year from that date for the sum of $.00 (dollars).

Payable in advance, and shall continue for yearly periods thereafter
unless terminated by either party in writing thirty (30) days prior to
anniversary date.
Annual contract price may only be adjusted at anniversary date, unless
equipment is added or subtracted from original contract. This contract
is not binding until equipment is checked and approved by the seller.
